1. Introduction

 

These Terms and Conditions ("Terms") govern your use of the services provided by Effixion Labs ("Company", "we", "us", or "our"), a fractional marketing consultancy specializing in B2B technology companies. By engaging our services or accessing our website at www.effixionlabs.com, you agree to be bound by these Terms.

2. Services

 

Effixion Labs offers various marketing consultancy services, including but not limited to:

• Fractional Chief Marketing Officer (CMO) engagements

• Project-based consultancy

• Marketing Clarity Clinics

• Hourly or day-rate consulting

The scope, deliverables, timelines, and fees for each engagement will be outlined in a separate agreement or statement of work (SOW) between the Company and the client.

3. Client Responsibilities

 

Clients agree to provide timely access to necessary information, resources, and personnel to facilitate the delivery of services. Clients are responsible for ensuring that all information provided is accurate and complete.

4. Fees and Payment

 

Fees for services will be specified in the respective agreement or SOW. Unless otherwise stated, invoices are due within 14 days of issuance. Late payments may incur interest charges as permitted by applicable law.

5. Confidentiality

 

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the engagement. This obligation shall survive the termination of the engagement.

6. Intellectual Property

 

Unless otherwise agreed upon in writing:

• Pre-existing intellectual property of each party remains the sole property of that party.

• Deliverables created by Effixion Labs specifically for the client will become the property of the client upon full payment.

7. Termination

 

Either party may terminate the engagement with written notice as specified in the agreement or SOW. Upon termination, the client agrees to pay for all services rendered up to the termination date.

8. Limitation of Liability

 

To the maximum extent permitted by law, Effixion Labs shall not be liable for any indirect, incidental, or consequential damages arising out of or related to the services provided. Our total liability shall not exceed the total fees paid by the client for the services in question.

9. Governing Law

 

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Changes to Terms

 

Effixion Labs reserves the right to modify these Terms at any time. Changes will be effective upon posting on our website. Continued use of our services constitutes acceptance of the revised Terms.
